The purpose of this agreement is to secure a mining interest over the ILUA area for Sandfire Resources.

Details of the Agreement Commencement and Termination The agreement came into effect on the day that the parties signed the agreement. This date has not been released, therefore it is uncertain when the agreement became active. The agreement will continue for as long as Sandfire Resources has an interest in any Mining Tenement or Ancillary Title in the ILUA Area. However, this agreement can be terminated by the agreement of the parties, recorded in writing. Future Acts The parties agreed to a number of future acts, subject to the compliance by the parties with the ILUA and also the agreement entitled "Gingirana LAA (with provision for an ILUA)" and dated 18 November 2010. These future acts generally relate to the granting of a Mining Tenement or Ancillary Title to Sandgate Resources. Grant is used in broad sense and covers a grant, renewal, amalgamation or variation. Specific future acts are listed in Schedule B. Right to Negotiate The Right to Negotiate as expressed in Part 2, Division 3, Subdivision P of the Native Title Act does not apply any future act. Background Sandfire Resources' Doolgunna Copper-Gold Project is located 900km north of Perth and approximately 150km north of Meekatharra, Western Australia. The project area lies close to a number of existing and historical gold mines and infrastructure including the Goldfields Gas Pipeline and Great Northern Highway. Within the Doolgunna project operates a secondary project, the DeGrussa Project. The area covered by this secondary project is the area which affects this ILUA. To facilitate this Project Sandfire Resources have signed two ILUAs - this ILUA with the Gingirana People and an additional ILUA with the Yugunga Nya Native Title Claimant Group. These ILUA's have allowed for Sandfire Resources to be granted the necessary Mining Lease by the Western Australian Government to undertake activities in these areas. The Yugunga-Nya ILUA resulted in both financial and non-financial benefits including employment and contracting opportunities. Such details have not been released with regards to this ILUA, however, it is likely that similar financial and non-financial benefits will result.
